02.Article 2 — Purpose

These Terms of Sale (hereinafter "TOS") govern the contractual relationships between WezBook (hereinafter "WezBook") and any Professional subscribing to the WezBook platform services.

These TOS apply to the exclusion of any other condition, unless expressly and in writing waived.

03.Article 3 — Description of Services

3.1 Included services

WezBook offers a SaaS management and booking solution for beauty and wellness professionals, including:

Salon management:

  • Salon creation and configuration (information, hours, address)
  • Service catalog and pricing management (from €0.00 to €999.99)
  • Promotion and service variant management
  • Employee and schedule management
  • Customer management (registered and temporary customers)
  • Statistics and dashboards

Online booking:

  • Booking system accessible to end customers
  • Time slot and availability management
  • Appointment durations from 5 minutes to 6 hours
  • Appointment cancellation and rescheduling
  • No-show management

Communications:

  • Automatic SMS reminders
  • Transactional email notifications
  • Real-time in-app notifications

WezPay module (optional supplement — cash register software compliant with art. 286-I-3°bis of the French CGI):

  • Recording sales transactions (services, products)
  • Issuing receipts compliant with regulations
  • Multi-payment method management (cash, card via terminal, check, etc.)
  • Recording refunds and credits
  • Daily cash closures (Z receipts)
  • Production of unalterable tax archives
  • Complete and traceable transaction history
  • Triggering payments on connected payment terminals (Stripe, SumUp)

Visibility:

  • Listing on the WezBook platform
  • Google Places integration
  • Public salon page with customer reviews

Supplements (outside base subscription, billed separately):

  • Additional collaborators (see article 3.3)
  • WezPay module — cash register software compliant with art. 286-I-3°bis of the French CGI (see article 3.4)
  • Custom website creation (see article 3.5)
  • Custom domain name (see article 3.6)

3.2 Tax compliance (art. 286-I-3°bis of the French CGI)

The WezPay module integrated into WezBook is compliant with the conditions of inalterability, security, retention and archiving set out in 3° bis of I of article 286 of the French General Tax Code. This compliance is justified by an individual publisher's certificate (no. ATT-WEZPAY-2026-001), in accordance with article 286-I-3°bis of the French CGI as restored by article 125 of the 2026 Finance Act. As such, WezPay guarantees:

  • Unalterability: recorded cash register data cannot be modified or deleted
  • Security: data is protected by chaining and digital signature
  • Preservation: data is archived for a minimum of 6 years in accordance with tax obligations (article L.102 B of the Book of Tax Procedures)
  • Traceability: each operation (sale, refund, cancellation, credit) is exhaustively tracked

The individual certificate of compliance no. ATT-WEZPAY-2026-001, issued by WezBook, is provided to the Professional upon request and can be presented in case of tax audit.

WezPay is not an independent product: it is exclusively integrated into the WezBook Platform and cannot be used, distributed or marketed separately.

3.4 Custom website

WezBook offers the creation of a custom website for the Professional, billed as a one-time fee according to current pricing.

Characteristics:

  • The website is hosted on WezBook infrastructure and depends on the Platform to function: it is not autonomous and cannot be exported or transferred to another host
  • The website ceases to function in case of WezBook subscription termination

Intellectual property:

  • The content of the website (texts, images, logos provided by the Professional) remains the property of the Professional. In case of termination, the Professional may request export of their content within 30 days
  • The design, code and templates used for website creation remain the exclusive property of WezBook

Warranty:

  • WezBook guarantees the conformity of the delivered website with the specifications agreed between the parties
  • The Professional has 15 days from going live to report any non-conformity

3.5 Custom domain name

WezBook offers the Professional the setup of a custom domain name, subject to a dedicated subscription whose pricing is communicated on the Platform.

Domain ownership:

  • The Professional is the owner of the domain name. WezBook registers the domain with a third-party registrar on behalf of the Professional
  • WezBook handles technical domain management (DNS configuration, renewal) during the subscription

Portability:

  • The Professional may request transfer of their domain name to another provider at any time
  • WezBook will provide the transfer authorization code within 5 business days of the request
  • Transfer fees with the new registrar are the Professional's responsibility

Termination:

  • In case of termination of the domain name subscription, WezBook will inform the Professional at least 30 days before domain expiration so they can proceed with the transfer
  • WezBook will not renew the domain after termination. If the Professional does not transfer their domain within the allotted time, it will expire according to registrar rules

Liability:

  • The Professional is solely responsible for choosing their domain name and guarantees that it does not infringe third-party rights (trademarks, trade names, etc.)
  • WezBook cannot be held liable for the loss of a domain name resulting from non-renewal after duly notified termination

3.6 Service limits

WezBook is not:

  • A licensed payment institution
  • A payment service provider

WezBook does not store end customer banking data (card numbers, CVV, IBAN). Card payments are processed by PCI-DSS certified third-party providers (Stripe, SumUp). However, WezBook records and preserves transaction data (amounts, service details, payment methods used) in accordance with the obligations of article 286-I-3°bis of the French CGI.

04.Article 4 — Subscription

4.1 Free tier

Any new Professional gets unlimited free access as soon as their salon is created. The free tier grants access to internal dashboard features (internal calendar, client and service management), with a cap of 10 appointments per week, no public visibility of the salon, and no SMS or email reminders.

To appear in public search, accept online bookings and enable automatic notifications, the Professional may subscribe to a paid plan at any time.

4.2 Subscription plan

WezBook offers a single "All-in-one" subscription plan whose characteristics and included features are detailed on the Platform's pricing page.

The Professional may subscribe to optional supplements (additional collaborators, WezPay module, custom website, custom domain name) whose rates are communicated on the Platform.

4.3 Duration and renewal

The subscription is subscribed for a monthly duration. It is automatically renewed at each term, unless terminated before the renewal date.

In accordance with articles L.215-1 to L.215-3 of the French Consumer Code, WezBook will inform the Professional by email, at the earliest 3 months and at the latest 1 month before the renewal date, of the possibility of not renewing their subscription. In the absence of this information, the Professional may terminate at any time from the renewal date and obtain reimbursement, within 30 days, of the portion of the price corresponding to the remaining duration.

4.4 Supplement management

The Professional may at any time add or remove supplements from their personal area:

  • Addition: the supplement is activated immediately, with prorated billing for the current month
  • Removal: the supplement remains active until the end of the current billing cycle

05.Article 5 — Pricing and Payment

5.1 Pricing

Subscription prices are those in force on the day of subscription, as displayed on the Platform. Prices are expressed in euros and are understood as:

  • Excluding tax for VAT-liable Professionals
  • Applicable VAT will be added to the pre-tax amount

WezBook reserves the right to modify its prices. Any price change will be notified to the Professional at least 30 days before the next renewal. The Professional who does not accept the new prices may terminate their subscription free of charge before they take effect.

5.2 Payment methods

Payment is made by credit card via the secure payment platform Stripe. The Professional authorizes automatic direct debit at each term.

Accepted payment methods:

  • Credit cards (Visa, Mastercard, American Express)
  • SEPA direct debit (subject to availability)

5.3 Payment default

In case of payment failure:

  • WezBook will grant a 7-day grace period to rectify the situation
  • Upon expiration of this period, access to subscription features may be suspended
  • The Professional remains liable for the amounts due

5.4 Late penalties

In accordance with articles L.441-10 and D.441-5 of the French Commercial Code, in case of late payment:

  • Late penalties will be due, calculated at 3 times the current legal interest rate, applied to the VAT-inclusive amount owed, starting the day after the due date
  • A flat-rate recovery compensation of €40 will be due as of right for each invoice paid late (article D.441-5 of the Commercial Code)
  • If actual recovery costs exceed this amount, WezBook may claim additional compensation upon justification

5.5 Invoicing

An invoice is automatically issued at each payment and accessible from the Professional space or via the Stripe portal.

06.Article 6 — SMS and Communications

6.1 SMS pricing

SMS sent via the Platform (appointment reminders, notifications) are billed on usage according to current rates communicated on the Platform. SMS are not included in the subscription.

6.2 Liability

The Professional is responsible for the content of communications sent to their customers via the Platform. They undertake to comply with applicable regulations on commercial prospecting (opt-in, CNIL, etc.).

07.Article 7 — Right of Withdrawal

7.1 Principle

In accordance with article L.221-3 of the French Consumer Code, the Professional employing 5 or fewer employees and whose contract does not fall within their main activity benefits from the right of withdrawal provided for consumers, i.e. a period of 14 days from subscription.

Professionals who do not meet these conditions do not benefit from the right of withdrawal.

7.2 Exercise of the right of withdrawal

To exercise this right, the Professional may:

  • Use the withdrawal form available in the annex of these TOS or on the Platform
  • Send a declaration expressing their wish to withdraw by email to contact@wezbook.com or by mail to the registered office address

In case of withdrawal, WezBook will refund all amounts paid within 14 days of receipt of the request, using the same payment method as the initial transaction.

7.3 Exception

In accordance with article L.221-28-1° of the French Consumer Code, if the Professional has expressly consented to the start of service execution before the end of the withdrawal period and has acknowledged losing their right of withdrawal, it can no longer be exercised.

08.Article 8 — Consumer mediation and out-of-court dispute resolution

These TOS apply to Professionals (B2B); B2C consumer mediation therefore does not apply directly to the relationship between the Professional and WezBook.

For disputes between an End Client and a Professional using the platform, the End Client is invited to contact the Professional directly before any further action, then, if no amicable solution is reached, to refer the matter to the appropriate consumer mediation:

09.Article 9 — Termination

8.1 Termination by the Professional

The Professional may terminate their subscription at any time from their personal space or by contacting WezBook support. Termination takes effect at the end of the current billing period. No prorated refund will be made.

8.2 Termination by WezBook

In case of breach by the Professional of their obligations, WezBook will send a formal notice by email, granting a 15-day period to comply.

If the breach persists upon expiration of this period, WezBook may terminate the subscription. Reasons for termination include notably:

  • Violation of the Terms or TOS
  • Payment default not rectified within the grace period
  • Fraudulent or abusive use of the Platform

In case of termination for fault, no refund will be due. The Professional will be informed by email of the reasons for termination and may submit observations.

8.3 Consequences of termination

Upon termination:

  • Access to subscription features and all subscribed supplements is deactivated
  • Salon data (excluding cash register data) remains accessible for reading for 30 days to allow export
  • After this period, data not subject to legal retention obligation may be deleted in accordance with the Privacy Policy
  • Cash register data (WezPay) is retained for 6 years in accordance with tax obligations, even after subscription termination. The Professional may request export of this data at any time during this period

10.Article 10 — Service Level Agreement (SLA)

9.1 Availability

WezBook undertakes to implement the necessary means to ensure Platform availability of 99.5% on a monthly basis, excluding scheduled maintenance periods.

In case of non-compliance with this commitment over a given calendar month, the Professional may request a credit calculated pro rata to the unavailability period exceeding the 99.5% threshold. The request must be made within 30 days following the month concerned. This credit constitutes the sole compensation due for non-compliance with the service level.

9.2 Maintenance

WezBook reserves the right to carry out maintenance operations. Scheduled maintenance will be notified with at least 48 hours notice. Emergency maintenance (security, stability) may be carried out without notice. Scheduled maintenance time is excluded from the availability calculation.

9.3 Support

Support is accessible by email at [TO BE COMPLETED]. WezBook strives to respond within a reasonable time, depending on the nature and priority of the request.

11.Article 11 — Intellectual Property

10.1 License of use

WezBook grants the Professional a non-exclusive, non-transferable and non-sublicensable right to use the Platform for the duration of the subscription.

10.2 Restrictions

The Professional undertakes not to:

  • Copy, modify, adapt or decompile the software
  • Resell, sublicense or make the Platform available to third parties
  • Use the Platform for purposes contrary to its intended use

10.3 Professional's data

The Professional remains the owner of their data (salon information, customer list, appointment history). WezBook undertakes to return this data upon request in an exploitable format.

12.Article 12 — Liability and Warranties

11.1 Obligation of means

WezBook is subject to an obligation of means. It undertakes to bring all necessary care and diligence to the provision of its services.

11.2 Limitation of liability

Under no circumstances shall WezBook be liable for:

  • Indirect damages (loss of revenue, loss of customers, loss of earnings)
  • Malfunctions of third-party providers (Stripe, Twilio, Firebase, AWS)
  • The Professional's use of the Platform
  • The direct commercial relationship between the Professional and their end customers

However, WezBook is responsible for the proper retention, integrity and unalterability of cash register data recorded via the WezPay module, in accordance with the requirements of article 286-I-3°bis of the French CGI.

WezBook's total liability, all causes combined, is limited to the amounts paid by the Professional during the 12 months preceding the triggering event.

11.3 Force majeure

WezBook cannot be held liable in case of force majeure within the meaning of article 1218 of the French Civil Code.

13.Article 13 — Personal Data

Personal data processing is governed by the Privacy Policy, available on the Platform.

In the context of Platform use, the Professional is the data controller of their end customers' data. WezBook acts as a data processor within the meaning of the GDPR.

A Data Processing Agreement (DPA) is available upon request at contact@wezbook.com.

14.Article 14 — Professional's Tax Obligations (WezPay)

13.1 Certificate of compliance

The Professional using the WezPay module must be able to present the individual certificate of compliance in case of tax audit. WezBook provides this certificate (no. ATT-WEZPAY-2026-001) upon request.

13.2 Retention of cash register data

In accordance with article L.102 B of the Book of Tax Procedures, cash register data recorded via WezPay is retained for a minimum of 6 years. This obligation applies regardless of subscription duration.

13.3 Professional's responsibility

The Professional is solely responsible for:

  • The compliance of their use of the cash register software with tax regulations
  • The accuracy of data entered (amounts, nature of services, applicable VAT)
  • Performing daily cash closures
  • Retaining the individual certificate of compliance

WezBook cannot be held liable for the consequences of non-compliant use of the WezPay module by the Professional.

15.Article 15 — Reversibility

In case of termination of the subscription, whatever the cause:

  • The Professional may request export of their management data (customers, appointments, services) within 30 days after subscription end
  • The Professional may request export of their cash register data at any time during the 6-year legal retention period

WezBook will provide the data in a standard and exploitable format (CSV, JSON).

16.Article 16 — Modification of the TOS

WezBook reserves the right to modify these TOS. Any substantial modification will be notified to the Professional at least 30 days before it takes effect. The Professional who does not accept the new TOS may terminate their subscription before they take effect.

17.Article 17 — Applicable Law and Jurisdiction

These TOS are subject to French law.

In case of dispute between WezBook and a Professional, the parties undertake to seek an amicable solution. Failing amicable agreement within 30 days, the dispute will be submitted to the competent courts of [TO BE COMPLETED].

18.Article 18 — Miscellaneous Provisions

17.1 Independence of clauses

The nullity or inapplicability of one of the clauses of these TOS does not entail the nullity of the other clauses.

17.2 Non-waiver

The fact that WezBook does not avail itself at a given time of any clause of these TOS does not constitute a waiver.

17.3 Assignment

WezBook reserves the right to assign the subscription contract to a third party, subject to informing the Professional. The Professional may not assign their subscription without WezBook's prior written consent.

17.4 Entirety

These TOS, the Terms of Use and the Privacy Policy constitute the entirety of the agreement between WezBook and the Professional.
